These terms govern your use of SideLedger. By creating an account or using the service, you agree to them. Read carefully — they're a legally binding agreement between you and SideLedger.
01Acceptance of Terms
By creating an account or using SideLedger ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and SideLedger ("we", "us", "our").
02Description of Service
SideLedger is a cloud-based bookkeeping platform that provides tools for small businesses, including work-in-progress tracking, fixed asset management, inventory tracking, and related financial record-keeping features. The Service is provided on an "as is" and "as available" basis.
03User Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials, including your password and multi-factor authentication setup. You are responsible for all activities that occur under your account.
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
04Subscriptions and Billing
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis through our payment processor, Stripe. You agree to pay all fees associated with your subscription plan.
Each user receives one free module accessible across all companies. Additional modules require a paid subscription on a per-company basis.
You may cancel your subscription at any time through the billing settings. Upon cancellation, you will retain access until the end of your current billing period. Refunds are handled in accordance with applicable law.
05Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Upload malicious code or content
- Resell or redistribute the Service without our written consent
- Use the Service to store or transmit content that infringes on intellectual property rights
06Data and Content
You retain ownership of all data you enter into the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.
You are responsible for maintaining your own backups of your data. We will make reasonable efforts to preserve your data but are not liable for any loss or corruption of data.
07Intellectual Property
The Service, including its design, code, features, and documentation, is owned by SideLedger and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.
08Limitation of Liability
To the maximum extent permitted by applicable law, SideLedger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
SideLedger is a bookkeeping tool and does not provide accounting, tax, or legal advice. You are solely responsible for ensuring the accuracy of your financial records and compliance with applicable laws and regulations.
09Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.
11Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
12Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
